1. Acceptance of Terms

By accessing our website at worklo.dev or downloading and using the Worklo software, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or software.

These terms apply to all visitors, users, and others who access or use Worklo.

2. Description of Service

Worklo is a self-hosted professional services automation platform that provides:

• Project and task management
• Time tracking and capacity planning
• Visual workflow automation
• Client portal functionality
• Role-based access control and analytics

The software is distributed as open-source code that you download and run on your own infrastructure. We also operate the Worklo website (worklo.dev) which provides information, documentation, and download access.

3. Software License

Worklo software is released under a proprietary license. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to:

• Download and install Worklo on your own servers for internal business use.
• Modify the source code for your own internal use.
• Use Worklo to manage your organization's projects, clients, and operations.

You may NOT:

• Resell, sublicense, or distribute Worklo as a commercial product or service without written permission.
• Offer Worklo as a hosted SaaS service to third parties without a commercial license agreement.
• Remove or alter copyright notices, license headers, or attribution in the source code.
• Use the Worklo name, logo, or branding to imply endorsement of a derivative product.

4. Acceptable Use

You agree not to use Worklo or our website to:

• Violate any applicable local, national, or international law or regulation.
• Transmit any unsolicited or unauthorized advertising or promotional material.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website.
• Attempt to gain unauthorized access to any part of our systems or infrastructure.
• Introduce viruses, trojans, worms, or other malicious or harmful material.
• Conduct denial-of-service attacks against our website or infrastructure.
• Scrape, crawl, or systematically extract data from our website without permission.

5. Self-Hosted Deployments

When you self-host Worklo, you are solely responsible for:

• Infrastructure security — securing your servers, databases, and network configuration.
• Data protection — complying with applicable data protection laws (GDPR, CCPA, etc.) for data you process within your instance.
• Backups — maintaining regular backups of your data.
• Updates — keeping your installation up to date with security patches.
• Access control — managing user accounts and permissions within your instance.

We are not responsible for data loss, security breaches, or service interruptions in your self-hosted deployment.

6. Intellectual Property

The Worklo name, logo, website design, and all content on worklo.dev are the intellectual property of Worklo and are protected by copyright, trademark, and other applicable laws.

The Worklo source code is made available under the terms described in the LICENSE file included with the software. All rights not expressly granted are reserved.

You may not use our trademarks, logos, or brand assets without prior written permission.

7. Data Ownership

You retain full ownership of all data you create, upload, or manage within your self-hosted Worklo instance. We make no claim to any data stored in your deployment.

8. Disclaimer of Warranties

THE WORKLO SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose.
• Warranties that the software will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy or completeness of any content.

We do not warrant that defects will be corrected or that the software is free of viruses or other harmful components. Your use of the software is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKLO AND ITS TEAM MEMBERS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business, or goodwill.
• Damages arising from your use or inability to use the software or website.
• Damages arising from unauthorized access to or alteration of your data.

This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Worklo and its team members from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the software or website in violation of these terms.
• Your self-hosted deployment and any data processed within it.
• Your violation of any applicable law or third-party rights.

11. Termination

We reserve the right to terminate or suspend your access to our website and services at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.

Upon termination, your right to use our website ceases immediately. Provisions of these terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.
